These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and [business entity name](“we,” “us” or “our”),
You agree that by accessing the Site, you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the Site and you must discontinue use immediately.
Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason.

We will alert you about any changes by updating the “Last updated” date of these Terms and Conditions, and you waive any right to receive specific notice of each such change.
It is your responsibility to periodically review these Terms and Conditions to stay informed of updates.
Option 1: The Site is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to register for the Site.

INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us.

Minimum order value or Quantity 

The minimum order Quantity for a first-time order by a new customer is 100 pcs or Pair.
The smallest possible purchase quantity per article is one packing unit (PU).
Shipping and packaging costs
 Standard delivery is conducted using a third party courier or third party pallet carrier. Delivery times vary according to each mode of transportation as detailed below:
Parcel (third party courier) up to 7 days
Truck (third party pallet carrier or Seller’s own van) up to 21 days The mode of transportation is determined by the size of the Goods, and is confirmed on order.
All packages are sent with insurance and can be tracked with the relevant tracking number.
Title in the Goods shall not pass to the Buyer until the Seller has been paid in full for the Goods.

 

Payments


The price shall be that in the Seller’s current Trade List Price, or such other price as the parties may agree in writing.
Payments shall be made on the following account via bank transfer and stating the invoice number:
Account holder: XYZ
Bank: XYZ
SWIFT code XYZ
IBAN: XYZ
For deliveries of first-time orders by new customers, payment must always be made in advance or minimum 50% Payment of the total amount in advance.

10 CANCELLATION AND RETURNS


During delivery the Buyer shall inspect the packaging for visible signs of transit damage before signing any delivery receipt document. In the event of visible signs of transit damage the Buyer must clearly sign the goods received as ‘damaged’ on the delivery receipt document before signing. The Buyer shall then notify the Seller within 24 hours.
The Buyer shall inspect the Goods immediately upon receipt and shall notify the Seller within 24 hours of delivery if the Goods are transit damaged. Goods that are defective or do not comply with any part of the Contract, must be reported to the Seller within 7 days of delivery.
Where a claim of defect or damage is made then it shall be the responsibility of the Seller to collect the faulty Goods and the Buyer shall be entitled to replacement Goods or a full refund (including delivery costs, if applicable).
Goods to be returned must be fully re-packaged and sealed in the original packaging format clearly showing the order number obtained from the Seller.
Notice: Where returned Goods are found to be damaged due to the Buyer’s fault the Buyer will be liable for the cost of remedying such damage.

 WARRANTY


Where the Goods have been manufactured by the Seller and are found to be defective, the Seller shall repair, or in its sole discretion, replace defective Goods free of charge within 6 months from the date of delivery, subject to the following conditions:
the Buyer notifying the Seller in writing immediately upon the defect becoming apparent;
 the defect being due to the faulty design, materials or workmanship of the Seller.
Any Goods to be repaired or replaced shall be returned to the Seller at the Buyer’s expense, if so requested by the Seller.
 Where the Goods have been manufactured and supplied to the Seller by a third party, any warranty granted to the Seller in respect of the Goods shall be passed on to the Buyer.
 The Seller shall be entitled in its absolute discretion to refund the price of the defective Goods in the event that such price has already been paid.
